Membership Terms & Conditions

These Membership Terms and Conditions ("Agreement") govern your access to and use of the directory listing and membership services offered by SuitePartners.net ("SuitePartners," "we," "us," or "our") at www.suitepartners.net and directory.suitepartners.net. By subscribing to a paid membership plan, you ("Subscriber," "Member," or "you") agree to be bound by this Agreement in full.

If you do not agree to these terms, do not subscribe to a paid plan. You may use the free Claim listing without agreeing to the paid membership terms, subject to the Acceptable Use Policy in Section 6.

1.  Definitions

  "Platform" means the SuitePartners.net website and directory, including all subdomains.

  "Listing" means a directory entry representing your company, products, or services on the Platform.

  "Claim Listing" means the free, basic listing tier available to any company in the NetSuite ecosystem.

  "Gold Membership" means the paid annual membership at $297/year that includes enhanced content and media features.

  "Platinum Membership" means the paid annual membership at $997/year that includes all Gold features plus quarterly webinar access.

  "Subscription Period" means the twelve (12) month period beginning on the date your payment is processed.

  "Content" means any text, images, videos, files, links, case studies, press releases, or other materials you submit to the Platform.

 

2.  Membership Plans & Included Features

2.1  Gold Membership — $297/year

Gold Members receive the following features during their active Subscription Period:

  All features of the Claim (free) listing tier

  Ability to embed video recordings and webinar replays on the listing page

  Website and YouTube hyperlinks displayed on the listing

  Ability to post News, Events, and Press Release updates

  Enhanced metadata fields and solution category tags

  Case study uploads (PDF or linked URL)

  Whitepaper download hosting (up to 3 files, 25MB each)

  Ratings and reviews enabled on the listing

  Partner-owned content section on the listing profile

2.2  Platinum Membership — $997/year

Platinum Members receive all Gold features plus:

  Four (4) quarterly webinar presentation slots per Subscription Period, hosted by SuitePartners

  Direct access to the active NetSuite buyer and user audience during webinars

  Webinar recordings archived and linked from the Member's listing page

  Priority search placement within the directory

  Partner Spotlight feature placement (one per quarter)

  Lead capture and forwarding from webinar registrants

Webinar slots are scheduled by SuitePartners on a calendar shared with Platinum Members. Scheduling is first-come, first-served within each quarter. Unused quarterly slots do not roll over.

2.3  Feature Changes

SuitePartners reserves the right to add, modify, or discontinue specific features within a membership tier. Where a material reduction in features occurs, Members will be notified by email at least 30 days in advance and offered a prorated refund if they elect to cancel.

 

3.  Payment, Billing & Renewal

3.1  Billing

All membership fees are billed annually in U.S. dollars at the time of subscription. Payment is processed securely through Stripe. SuitePartners does not store credit card numbers on its servers.

3.2  Auto-Renewal

Memberships renew automatically at the end of each Subscription Period at the then-current annual rate. You will receive an email reminder no less than 30 days before your renewal date. To cancel auto-renewal, you must notify us at billing@suitepartners.net or cancel through your account portal at least 7 days before the renewal date.

3.3  Price Changes

SuitePartners may change membership pricing at renewal. You will be notified of any price increase at least 60 days before your renewal date. Continued use of the membership after renewal constitutes acceptance of the new price.

3.4  Taxes

Subscription fees are exclusive of applicable sales taxes, VAT, or other government-imposed fees. Where required by law, SuitePartners will collect and remit applicable taxes. Your final checkout total will reflect any taxes applicable to your billing jurisdiction.

 

4.  Refund Policy

SuitePartners offers the following refund terms:

  Full refund within 30 days of the initial subscription date if you are not satisfied, provided no webinar slots have been used.

  No refunds are issued after 30 days from the subscription start date, or if any webinar slot (Platinum) has been utilized.

  In the event SuitePartners discontinues a material feature included in your plan, you are entitled to a prorated refund for the unused portion of your Subscription Period.

  Refunds are not issued for failure to use features, failure to submit content, or voluntary non-use of the membership.

To request a refund, contact billing@suitepartners.net within the eligible window. Refunds are processed within 5-10 business days to the original payment method.

 

5.  Content Submission & Ownership

5.1  Your Content

You retain full ownership of all Content you submit to the Platform. By submitting Content, you grant SuitePartners a non-exclusive, worldwide, royalty-free license to display, reproduce, and distribute your Content on the Platform and in promotional materials related to SuitePartners for the duration of your active membership.

5.2  Content Standards

You represent and warrant that all Content you submit:

  Is accurate and not misleading

  Does not infringe any third-party intellectual property rights

  Does not contain malware, malicious code, or harmful links

  Does not constitute false advertising or deceptive trade practices

  Complies with all applicable laws and regulations

5.3  Content Removal

SuitePartners reserves the right to remove Content that violates these standards, at our sole discretion, without prior notice. We will make reasonable efforts to notify you of removed Content by email.

5.4  Content After Cancellation

Upon cancellation or non-renewal, paid-tier Content (videos, case studies, news posts, etc.) will be removed from the listing. The listing will revert to the Claim tier. Basic company information may remain in the directory unless you request full removal.

 

6.  Acceptable Use Policy

You agree not to use the Platform to:

  Impersonate any person, company, or NetSuite-affiliated entity

  Submit listings or Content for companies you do not have authority to represent

  Engage in spam, unsolicited marketing, or lead scraping of other listed companies

  Post Content that is defamatory, harassing, or unlawful

  Circumvent, disable, or interfere with the Platform's security or technical features

  Use automated tools to scrape, index, or harvest directory data in bulk without written permission

Violation of this policy may result in immediate suspension or termination of your membership without refund.

 

7.  Webinar Terms (Platinum Members)

  Each Platinum Member is entitled to one (1) webinar slot per calendar quarter, for four (4) total per Subscription Period.

  Webinar topics must relate to the Member's NetSuite-adjacent products or services and are subject to SuitePartners approval.

  Members must submit presentation materials no less than 10 business days before the scheduled webinar date.

  SuitePartners reserves the right to reschedule or cancel a webinar slot with 14 days' notice. A replacement slot will be offered in the same or subsequent quarter.

  SuitePartners does not guarantee minimum attendance figures for webinars.

  Recordings of webinars become the joint property of SuitePartners and the presenting Member. SuitePartners may host and promote recordings on the Platform indefinitely.

 

8.  Intellectual Property

The SuitePartners name, logo, website design, and directory content (excluding Member Content) are the proprietary intellectual property of SuitePartners. No license to use SuitePartners branding is granted except as expressly stated herein.

SuitePartners is an independent platform and is not affiliated with, endorsed by, or sponsored by Oracle Corporation, NetSuite Inc., or any Oracle subsidiary. "NetSuite" is a registered trademark of Oracle Corporation, used herein for descriptive purposes only.

 

9.  Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. SUITEPARTNERS DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. WE DO NOT WARRANT THE ACCURACY OR COMPLETENESS OF ANY DIRECTORY LISTING OR CONTENT SUBMITTED BY THIRD PARTIES.

 

10.  Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SUITEPARTNERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF DATA, OR LOSS OF GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM OR YOUR MEMBERSHIP. IN NO EVENT SHALL SUITEPARTNERS' TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID IN SUBSCRIPTION FEES IN THE 12 MONTHS PRECEDING THE CLAIM.

 

11.  Termination

11.1  By You

You may cancel your membership at any time by contacting billing@suitepartners.net or through your account portal. Cancellation takes effect at the end of the current Subscription Period unless a refund is applicable under Section 4.

11.2  By SuitePartners

SuitePartners may terminate or suspend your membership immediately, without notice or refund, if you: (a) violate any provision of this Agreement; (b) engage in fraudulent or illegal activity; or (c) cause harm to the Platform, other Members, or third parties. SuitePartners may also terminate memberships with 30 days' notice for any other reason, with a prorated refund of unused Subscription Period fees.

 

12.  Governing Law & Disputes

This Agreement is governed by the laws of the State of California, without regard to conflict of law principles. Any dispute arising under this Agreement shall first be submitted to good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration under the rules of the American Arbitration Association, with proceedings conducted in San Bernardino County, California. Nothing in this section prevents either party from seeking injunctive relief in a court of competent jurisdiction.

 

13.  Modifications to This Agreement

SuitePartners reserves the right to modify this Agreement at any time. Material changes will be communicated by email to active Members at least 30 days before taking effect. Continued use of the Platform after the effective date of changes constitutes acceptance. If you do not agree to the modified terms, you may cancel before the effective date and receive a prorated refund for the unused Subscription Period.
